1. Definitions

  • Services and Goods refer to any deliverables such as manuscripts, publications, data, books, chemicals, instruments, digital assets, or intellectual property provided by ICDTD Inc. to the Client.
  • Company denotes ICDTD Inc., operating as Consortium Publisher, headquartered in Canada.
  • Client refers to any individual, institution, company, or organization placing an order with the Company.

2. Scope and Applicability
These terms apply to all contractual transactions between the Company and the Client regarding services and goods. Any terms proposed by the Client that conflict with this policy shall not be binding unless agreed in writing by the Company.


3. Contract Formation
A binding agreement is established when the Client provides formal written confirmation, such as via email, of the Company’s offer. All agreements are subject to these Terms and Conditions, overriding any alternate conditions suggested by the Client.


4. Quotations
Quotations issued by the Company are commercial estimates only and may be subject to revision. Prices, quantities, and timelines may change due to market fluctuations or other factors.


5. Orders and Confirmation
Orders are considered placed once a confirmation is received from an authorized representative of the Client. Verbal orders must be followed by written confirmation to be deemed valid.


6. Subcontracting
Unless expressly stated otherwise, the Company reserves the right to subcontract all or part of the services to third parties.


7. Timelines
The Company will endeavor to meet agreed timelines, but is not liable for delays arising from unforeseen circumstances or third-party dependencies.


8. Intellectual Property and Copyright
All services and goods are protected by Canadian Intellectual Property Law and relevant international copyright treaties. Ownership remains with the Company unless otherwise transferred in writing.


9. Risk of Loss
Responsibility for any goods or services transfers to the Client upon delivery or digital completion. The Company is not liable for losses or damages occurring after delivery.


10. Payment Terms

  • 10.1 Payment may be required in advance for certain orders.
  • 10.2 Invoices are payable within thirty calendar days of the invoice date, unless otherwise agreed. Late payments will incur interest at five percent above the Bank of Canada prime rate from the due date until payment is received.
  • 10.3 Overdue invoices exceeding sixty days may be subject to a surcharge of thirty Canadian dollars or five percent of the outstanding balance, whichever is greater.
  • 10.4 Disputes regarding any invoice must be communicated to the Company within seven days. The undisputed portion must still be paid on time.
  • 10.5 The Company may increase quoted fees if the Client requests any change to the original scope of work.

11. Retention of Title
Legal ownership of goods and deliverables remains with the Company until full payment is received. No rights are transferred to the Client until payment is complete.


12. Cancellation
Confirmed orders cannot be canceled without incurring financial responsibility. All costs, charges, and subcontractor fees incurred before cancellation must be reimbursed by the Client.


13. Delivery
Deliverables are typically sent via secure courier or digital transfer. Delivery is confirmed by receipt acknowledgment from the Client. Additional charges may apply for non-standard delivery services.


14. Legal Notice
All formal notices must be sent to the Client’s registered business address or principal place of operation and are considered received upon documented delivery.


15. Liability and Protection
The Company will take reasonable measures to safeguard deliverables. Liability for any damage or loss is limited to the value of the contract. The Company is not liable for indirect or consequential damages.


16. Types of Services and Goods Covered
This policy applies to the following deliverables provided by ICDTD Inc.:

  • Peer-reviewed scientific manuscripts and academic publications
  • Books and edited volumes
  • Research data sets and soft files
  • Metadata and supplementary research materials
  • Laboratory chemicals and analytical reagents
  • Scientific instruments and diagnostic devices
  • Software licenses and digital resources
  • Any additional components relevant to scientific publishing and research
